DIGITAL PRODUCT LICENSE AGREEMENT & TERMS OF PURCHASE

This Digital Product License Agreement and Terms of Purchase (the “Agreement”) governs the purchase, access, and use of the Retirement Planning Content Kit (“Content”) sold by Firefly and Birch, a Tennessee sole proprietorship doing business as Social Coverage Co. (“Licensor,” “Company,” “We,” “Us,” or “Our”), located in White House, Tennessee.

“You,” “Your,” “Purchaser,” or “Client” refers to the individual or business purchasing or accessing the Content.
By checking the box indicating Your agreement to these terms at checkout and completing Your purchase, You acknowledge that You have read, understood, and agree to be legally bound by this Agreement.
1. WHAT YOUR PURCHASE INCLUDES
The Retirement Planning Content Kit may include:
All materials included with the purchase are collectively referred to as the “Content.”
2. YOUR LICENSE
Your purchase grants You a limited, non-exclusive, non-transferable, non-sublicensable license to use the Content for Your own business.
This is a license to use the Content. You are not purchasing ownership or copyright in the underlying Content.
One purchase = one business license.
The Content may be customized and used to market and support the individual or business that purchased the kit.
Another insurance agent, agency, advisor, business, organization, FMO, IMO, marketing company, colleague, friend, or other person who wants to use the Content for their own business must purchase their own license directly from Social Coverage Co.
3. WHAT YOU MAY DO
You may:

Your purchase is for Your business only.
You may NOT share, forward, transfer, publish, distribute, sell, sublicense, give away, or otherwise provide another person or business with access to the purchased Content.
This includes, but is not limited to:
You may not upload the Content to a shared drive, agency portal, FMO or IMO resource library, membership, Facebook group, online community, shared Canva account, internal resource center, or other location where another person or business can access the purchased materials.
You may not purchase one copy and distribute it among multiple agents, agencies, offices, businesses, or organizations.
You may not use the Content to create or sell competing content kits, templates, lead magnets, social media resources, memberships, courses, or substantially similar digital products.
You may not claim ownership or authorship of the underlying Content.
Simply put: You may use the Content to market Your own business. You may not give the Content to someone else so they can market theirs.
5. CLIENT-FACING RESOURCE EXCEPTION
The Retirement Readiness Check-In is specifically designed to be shared with consumers.
You may distribute Your completed, branded version of the Retirement Readiness Check-In to Your own clients, prospects, and consumer audience.
This permission does not include the editable Canva template, template link, source file, original download link, or any other editable or proprietary version of the resource.
Your clients and prospects may receive the finished resource.
They do not receive a license to edit, rebrand, resell, redistribute, or use the resource for their own business purposes.
6. OWNERSHIP
Social Coverage Co. retains all right, title, copyright, and intellectual property interest in the underlying Content.
Your purchase grants You a license to use the Content according to this Agreement. It does not transfer ownership of the Content to You.
You retain ownership of Your own logos, photographs, trademarks, business information, and other original materials You add to the Content.
Adding Your branding or modifying a template does not transfer ownership of the underlying Social Coverage Co. Content.
7. LICENSE DURATION AND TERMINATION
This is a one-time digital product purchase. There is no recurring subscription associated with this purchase unless expressly stated at checkout.
Your license continues unless terminated under this Agreement.
Social Coverage Co. may revoke Your license and access if You materially breach these terms, including by sharing, transferring, reselling, or distributing the Content to another person or business.
If Your license is revoked because of a breach, You must stop using the Content and, upon written request, delete or destroy editable files, templates, links, and other proprietary materials in Your possession or control.
8. PAYMENT
You agree to pay the purchase price displayed at checkout.
Your license becomes effective only after successful payment.
Social Coverage Co. may change the price of the Retirement Planning Content Kit for future purchases at any time.
Applicable taxes may be collected where required by law.
9. REFUND POLICY
Because this is a digital product providing immediate access to downloadable, editable, and usable intellectual property, all sales are final and non-refundable.
Refunds will not be issued because You:
If You experience a legitimate technical problem accessing Your purchase, contact [email protected], and We will make reasonable efforts to assist You.
10. MARKETING, FINANCIAL, INSURANCE, AND COMPLIANCE RESPONSIBILITY
The Content is provided as a marketing, educational, organizational, and client-communication resource.
The Content does not constitute financial, investment, tax, legal, insurance, estate-planning, medical, regulatory, or compliance advice.
You are responsible for reviewing the Content before publishing or distributing it and for ensuring Your use of the Content complies with any laws, regulations, licenses, carrier requirements, agency requirements, advertising rules, or organizational policies applicable to Your business.
You are also responsible for the accuracy and appropriateness of any claims, information, examples, calls to action, contact information, or other material You add or change.
11. NO GUARANTEE OF RESULTS
Social Coverage Co. does not guarantee that use of the Content will generate leads, prospects, appointments, clients, policies, commissions, sales, revenue, followers, engagement, referrals, or any other particular result.
Results depend on factors outside Social Coverage Co.'s control, including Your audience, market, implementation, follow-up, business practices, and marketing activities.
12. THIRD-PARTY PLATFORMS
Some Content may be delivered through or designed for third-party platforms such as Canva, Google, social media platforms, website providers, email marketing services, or other software.
Social Coverage Co. does not control these third-party platforms and is not responsible for outages, feature changes, discontinued functionality, account restrictions, technical failures, pricing changes, or changes to their terms or policies.
You are responsible for maintaining any third-party accounts necessary to use the Content.
13. UNAUTHORIZED SHARING
You acknowledge that unauthorized sharing, copying, resale, transfer, licensing, or distribution of the Content may cause substantial harm to Social Coverage Co.
Social Coverage Co. reserves the right to revoke access and pursue any remedies available under applicable law when Content is used or distributed outside the license granted by this Agreement.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Social Coverage Co.'s aggregate liability arising from Your purchase or use of the Content will not exceed the amount You paid for the Retirement Planning Content Kit.
To the fullest extent permitted by law, Social Coverage Co. will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from Your purchase or use of the Content.
15. CHARGEBACKS AND PAYMENT DISPUTES
You agree to contact [email protected] and make a reasonable attempt to resolve any legitimate billing or access issue before initiating a chargeback or payment dispute.
If a chargeback is initiated, Social Coverage Co. may provide the payment processor or financial institution with evidence of Your purchase, access, acceptance of these terms, and other relevant transaction information.
Your license and access may be revoked following a successful chargeback or reversal of payment.
16. GOVERNING LAW
This Agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
Any legal action arising from this Agreement shall be brought in a court of competent jurisdiction in Tennessee, subject to applicable jurisdiction and venue requirements.
17. ASSIGNMENT
You may not assign, transfer, sublicense, or delegate Your license or rights under this Agreement without prior written consent from Social Coverage Co.
Any attempted transfer contrary to this provision is void.
18. ENTIRE AGREEMENT
This Agreement, together with any product-specific terms presented at checkout, constitutes the entire agreement regarding Your purchase and use of the Retirement Planning Content Kit.
If Social Coverage Co. expressly provides different licensing terms for this product in writing, those product-specific terms control to the extent they conflict with this Agreement.
19. SEVERABILITY
If any provision of this Agreement is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted or severed as necessary. The remaining provisions will continue in full force and effect.
20. ELECTRONIC ACCEPTANCE
By checking the box indicating Your agreement to these terms and completing Your purchase, You acknowledge that:
You have had the opportunity to review this Agreement before purchasing;
You understand that the Content is licensed, not sold;
You understand that one purchase grants one business license;
You understand that You may publish and use the Content for Your own business;
You understand that You may distribute the completed Retirement Readiness Check-In to Your own clients and prospects;
You understand that You may not share the kit, access links, Canva template links, editable files, captions, story prompts, source files, or other purchased materials with another person or business for their use; and
You agree to be legally bound by this Agreement.
